I believe the biggest difference is that the mk3 supports mp3 cd's, while the mk2 does not.

the mk2 & 3 are essentially the same expect for the improved sampling rate. (something you won't really notice in a project studio at least). I've been meaning to upgrade to Mk3 just to stay current but the MK2 has served me well & I haven't encountered limitations in my setup. Latency has not been a problem..
